Participation Terms and Conditions
By registering to participate in an Event managed by Black Sheep Events (“the Organiser”), you (“the Participant”) agree to be bound by these Terms and Conditions (“Terms”).

1. Allocation of Preferences
The Organiser will use reasonable endeavours to allocate selected participation preferences. In the event a selected item is unavailable, the Organiser will contact the Participant as soon as practicable to advise of the unavailability and discuss suitable alternative options. No alternative allocation will be confirmed without consultation with the Participant.

2. Right of Refusal
The Organising Committee reserves the absolute right, at its sole discretion, to accept or decline any application for participation without being required to provide a reason.

3. Participation Payment Terms
All Participant invoices are payable within the terms specified on the tax invoice. Sponsorship, advertising and exhibition entitlements will not be confirmed until payment is received in full.

4. GST
All prices quoted in the Sponsorship Prospectus are exclusive of Goods and Services Tax (GST).

5. Participant Cancellations and Refunds
All cancellations must be submitted in writing and are strictly non-refundable unless the cancelled sponsorship or exhibit space is resold. The Organiser is under no obligation to resell any cancelled sponsorship or exhibit space. Where resale occurs, a refund less a 10% administration cancellation fee will be payable only after the replacement Participant has executed an agreement and paid all applicable fees in full.

6. Insurance
Participants must maintain current public and product liability insurance. A valid Certificate of Currency must be provided on request. Failure to provide evidence of insurance may result in refusal of access to the exhibition area.

7. Program and Promotional Acknowledgement
Participant acknowledgement in the Event Program and associated promotional materials is subject to the date of booking, receipt of required materials (including logos), and production timelines. The Participant acknowledges that failure to provide artwork, logos, content, approvals or other required materials by published deadlines may result in the forfeiture of associated sponsorship entitlements without refund or compensation.

8. Approval of Materials
All signage, promotional materials, advertisements, and artwork must be submitted for prior written approval. The Organiser reserves the right to reject, remove, or require amendment of any material deemed inappropriate, non-compliant, or inconsistent with the Event’s standards.

9. Floor Plan Amendments
The Organiser reserves the right to amend the exhibition floor plan at any time in the interests of the overall Event, including relocating allocated exhibit space when reasonably necessary. Participants will be notified of any changes as soon as practicable.

10. Condition of Admittance
Full payment of all outstanding invoices, including representative registrations and any additional fees, must be received prior to the commencement of the Event. The Organiser reserves the right to refuse admittance to any Participant or representative whose account remains unpaid, unless otherwise agreed in writing.

11. Compliance with Conditions and Venue Rules
Participants agree to comply with all terms and conditions issued by the Organising Committee and the venue. Participants must not breach any lease, licence, or venue requirements applicable to the Event premises.

12. Stand Construction and Safety
Participants must ensure that all structures, signage, and displays comply with venue regulations and workplace health and safety requirements. No display may encroach upon adjacent exhibit space or obstruct aisles or emergency exits.

13. Damage to Venue
Participants are liable for any damage caused to the venue, including walls, floors, ceilings, fixtures, or fittings. All associated repair or reinstatement costs will be charged to the Participant.

14. Indemnity – Distribution of Materials
Participants indemnify and hold harmless the Organiser, Organising Committee, and venue from and against any actions, claims, proceedings, losses, damages, costs, or expenses arising from the Participant's activities, displays, exhibits, personnel, products, services, samples, promotional materials, or other items during the Event.

15. Limitation of Liability
To the maximum extent permitted by law, the Organiser shall not be liable for any indirect, consequential, special, incidental or economic loss, including loss of profits, revenue, goodwill, business opportunity or anticipated savings arising from participation in the Event.
The Organiser will take reasonable precautions to safeguard the Participant’s exhibit space, entitlements and property but accepts no responsibility for loss, theft, damage, or destruction of any property, however caused. All property is brought to the Event at the sole risk of the Participant.

16. Speaker and Presenter Content
The views, opinions, recommendations and information presented by speakers, presenters, exhibitors or other participants at the Event are their own and do not necessarily reflect those of the Organiser or Organising Committee. While reasonable efforts are made to ensure the quality of the Event program, the Organiser makes no representation or warranty as to the accuracy, completeness or suitability of any information provided. Participants are responsible for exercising their own professional judgement and obtaining independent advice where appropriate. The Organiser accepts no liability for any loss, damage, claim or expense arising from reliance on information presented at the Event.

17. Subletting and On-Selling
Participants must not assign, sublet, share, or on-sell sponsorship entitlements or exhibit space, nor display products, services, or materials not directly related to their approved participation, without the prior written consent of the Organiser.

18. Breach and Remedies
In the event of non-compliance with these Terms and Conditions or any other requirement stipulated by the Organiser, the Organiser reserves the right to terminate the participation agreement, resell the exhibit space, or appoint a replacement Participant. In such circumstances, all monies paid will be forfeited, and the Organiser shall not be liable for any loss or damage suffered by the Participant.

19. Event Changes, Postponement or Cancellation
The Organiser reserves the right to change the venue, date, speakers or program details at any time. Participants will be notified of any changes that may materially impact their participation. If the Event is postponed, the Participant’s booking will automatically transfer to the new date. If the Participant is unable to participate in the rescheduled Event, the Participant may be eligible for a refund.
If the Event is cancelled for reasons within the reasonable control of the Organiser, the Organiser may provide a refund of monies paid, less any reasonable costs already incurred in connection with the Event or transfer the Participant's booking to a future event. Where cancellation occurs due to circumstances beyond the Organiser's reasonable control, including but not limited to acts of God, natural disasters, public health emergencies, government restrictions, industrial action, venue unavailability, or any other force majeure event, the Organiser shall not be liable for any consequential loss and may, at its discretion, transfer participation to a future event in lieu of a refund.

20. Governing Law
These Terms and Conditions are governed by the laws of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of that State.

21. Amendments to Terms and Conditions
These Terms and Conditions may be amended from time to time. The version of these Terms and Conditions in effect at the time the Participant submits their application shall apply to that participation agreement.
